Terms of Use
Terms governing access to and use of the Rely Finance payroll and finance platform in Kenya.
Last updated: 1 August 2026
1. Agreement to these Terms
These Terms of Use (“Terms”) form a binding agreement between you (an individual user or the organisation you represent) and Rely (“Rely”, “we”, “us” or “our”) regarding access to and use of Rely Finance, including our websites, applications, APIs and related services (collectively, the “Service”).
By creating an account, signing in, starting a trial, inviting users or otherwise using the Service, you agree to these Terms, our Privacy Policy, Refund Policy and - where you process personal data through the Service - our Data Processing Agreement.
If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Service.
2. Eligibility and accounts
You must be at least 18 years old and have legal capacity under Kenyan law to enter into contracts. The Service is intended for businesses and organisations operating in or engaging with Kenya, not for personal consumer social use.
You must provide accurate registration information and keep credentials secure. You are responsible for all activity under your organisation’s accounts. Notify us promptly at support@rely.co.ke of unauthorised access.
We may require organisation approval before full access (including after trial signup). We may refuse, suspend or terminate accounts that violate these Terms or applicable law.
3. The Service
Rely Finance provides multi-tenant software tools for payroll calculation support, statutory deduction computation aids, general ledger, accounts receivable and payable, inventory-related features, reporting and related finance workflows for Kenyan SMEs, subject to your subscription plan.
The Service is a software platform. Rely is not your payroll bureau, accountant, tax agent or employer of record unless we expressly agree in a separate written engagement. You remain responsible for employment decisions, statutory filings, remittances to KRA, NSSF, SHA/SHIF, AHL and other authorities and for verifying all calculations before payment or filing.
Features may vary by plan (for example maker-checker, GL, AR/AP). We may modify, add or discontinue features with reasonable notice where material to paying customers, except where change is required for security, law or abuse prevention.
4. Your data and content
“Customer Data” means data you or your users submit to the Service, including employee records, payroll inputs, invoices, vendor/customer details, documents and organisational configuration.
You retain all rights in Customer Data. You grant Rely a limited licence to host, process, transmit, display and back up Customer Data solely to provide, secure, support and improve the Service and as otherwise described in our Privacy Policy and Data Processing Agreement.
You represent that you have all rights and lawful bases (including under the Data Protection Act, 2019 and employment law) to process and share Customer Data with us and that your use will not violate third-party rights or law.
5. Acceptable use
You must not and must not allow others to:
- Use the Service for unlawful, fraudulent or deceptive purposes or to violate the Computer Misuse and Cybercrimes Act, 2018 or other Kenyan law
- Attempt to gain unauthorised access, probe, scan or disrupt the Service, other tenants or related systems
- Upload malware or content that is illegal, harassing or infringing
- Resell, sublicense or provide the Service to third parties as a bureau without our written consent
- Reverse engineer the Service except to the extent permitted by mandatory law
- Circumvent usage limits, billing, authentication or security controls
- Misrepresent affiliation with Rely or use our marks without permission
6. Plans, trials, fees and taxes
Paid plans typically include a platform fee and usage-based charges (for example per approved payroll employee and certain payment events), as described at signup or in-product pricing. Prices are generally stated exclusive of VAT and other applicable taxes unless noted otherwise.
Where a free or discounted trial is offered (including a 14-day trial), trial terms apply. After trial, continued use may require a paid subscription. Transaction or usage fees during trial may be waived only as we expressly state.
You authorise us and our payment partners to charge applicable fees. Invoices and payment references generated by the Service do not replace your statutory tax invoices where you are the supplier to your own customers.
You are responsible for taxes arising from your business. Rely may charge VAT or similar where legally required. Refunds are governed by our Refund Policy.
7. Third-party services and integrations
The Service may integrate with identity providers (including Rely Auth), payment service providers, email delivery, hosting and other third parties. Their terms and privacy practices apply to their services. We are not responsible for third-party outages or acts beyond our reasonable control.
8. Intellectual property
Rely and its licensors own the Service, software, branding, documentation and aggregated anonymised insights that do not identify you or individuals. These Terms do not transfer ownership of Rely IP to you. Feedback you provide may be used by Rely without obligation to you.
9. Confidentiality
Each party may receive non-public information from the other. The receiving party will use reasonable care to protect it and use it only for performing under these Terms, except where information is public, independently developed or required to be disclosed by law (with notice where legally permitted).
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY KENYAN LAW. WE DISCLAIM ALL WARRANTIES NOT EXPRESSLY STATED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the above, we do not warrant that statutory calculations, tax treatments or reports are complete or correct for your facts; you must validate outputs with qualified professionals and official guidance (including KRA, NSSF, SHA and other regulators) before acting.
Nothing in these Terms excludes liability that cannot be excluded under Kenyan law, including for fraud or fraudulent misrepresentation.
11. Limitation of liability
To the maximum extent permitted by law, Rely will not be liable for indirect, incidental, special, consequential, punitive or exemplary damages; loss of profits, revenue, goodwill, data or business opportunity; or cost of substitute services - whether in contract, tort (including negligence) or otherwise.
Subject to mandatory law, Rely’s aggregate liability arising out of or related to the Service in any twelve-month period is limited to the fees you paid to Rely for the Service in that period (or KES 10,000 if you are on a free trial and paid no fees).
These limits allocate risk and are a fundamental basis of the bargain. Some limitations may not apply where prohibited by the Consumer Protection Act, 2012 or other mandatory rules - in which case liability is limited to the minimum permitted.
12. Indemnity
You will defend and indemnify Rely against claims, losses and expenses (including reasonable legal fees) arising from Customer Data, your use of the Service, employment or tax obligations or your breach of these Terms or law, except to the extent caused by Rely’s wilful misconduct.
13. Suspension and termination
You may stop using the Service at any time. You may request account closure via support@rely.co.ke. We may suspend or terminate access for non-payment, breach, legal risk or extended inactivity.
On termination, your right to use the Service ends. We may delete or anonymise Customer Data after a reasonable retention period, subject to the Privacy Policy, Data Processing Agreement and legal holds. Export available data before closure where the product supports export.
14. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, terrorism, labour disputes, utility failures, government action or widespread internet failures.
15. Governing law and disputes
These Terms are governed by the laws of Kenya. Courts of competent jurisdiction in Kenya have exclusive jurisdiction, without prejudice to mandatory consumer protections that cannot be waived.
Before filing a claim, the parties will attempt good-faith resolution by email to support@rely.co.ke for at least 30 days, unless urgent injunctive relief is needed.
16. Changes to the Terms
We may update these Terms by posting a revised version with a new “Last updated” date. Material changes will be communicated by reasonable means (for example in-product notice or email) where practicable. Continued use after the effective date constitutes acceptance, except where mandatory law requires another method of consent.
17. General
These Terms, with the Privacy Policy, Refund Policy, Data Processing Agreement (where applicable) and any order form or plan confirmation, are the entire agreement regarding the Service and supersede prior discussions on the same subject.
If any provision is unenforceable, the remainder stays in effect. Failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign to an affiliate or successor. Notices to you may be sent to account emails; notices to us to the emails below.
